Flex - Music Player Terms of Use

These terms are an agreement between you and Elixir Consultancy Services Ltd ("ElixirCS", "we", "us") about your use of the Flex - Music Player app and the Flex - Music Player pages on elixircs.com. We are registered in England and Wales under company number 05821983.
By downloading, installing, purchasing or using Flex - Music Player, you agree to these terms. If you do not agree, do not use Flex - Music Player. If you obtained Flex - Music Player through an app store, that store's terms also apply.
These terms apply specifically to Flex - Music Player. Our Website Terms of Use apply separately to the website. Please also read the Flex - Music Player Privacy Policy to understand how we handle personal information in Flex - Music Player.
Eligibility and your responsibilities
You must be legally able to enter into this agreement. If you are not, a parent or legal guardian must agree to these terms on your behalf. You are responsible for your compatible device, internet or local-network access, app-store account, Plex account and Plex Media Server, including keeping account credentials secure and activity carried out through your accounts.
Your licence to use Flex - Music Player
Subject to these terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use Flex - Music Player on devices you own or control, for your own non-commercial use and in accordance with the applicable app-store rules. No ownership rights are transferred to you.
Your Plex Media Server and media
Flex - Music Player connects to a Plex Media Server that you select and control. It does not provide, host or sell music. You are responsible for ensuring that you are entitled to access, stream, download and otherwise use the media made available through your server, and for complying with any limits that apply to that media.
Flex - Music Player and ElixirCS are independent of Plex and Plex Inc. We are not endorsed by, sponsored by or affiliated with them. Plex is a third-party service governed by its own terms and policies. Changes to Plex, your server or your server configuration may affect Flex - Music Player.
Acceptable use
You must not use Flex - Music Player or this website to:
- access, share or use content unlawfully;
- infringe copyright, privacy or any other third-party right;
- attempt to gain unauthorised access to Flex - Music Player, our website or any connected system;
- introduce malicious code, overload, disrupt or interfere with the app, website or another person's service;
- reverse engineer, decompile, disassemble, modify or create derivative works from Flex - Music Player, except to the extent applicable law does not allow that restriction; or
- remove or alter legal, copyright or proprietary notices.
Flex - Music Player Pro purchases
Flex - Music Player Pro may be available as a one-time lifetime purchase, an auto-renewing monthly subscription or an auto-renewing yearly subscription. Every option unlocks the same Flex - Music Player Pro functionality. The actual local price, currency, taxes and billing period are displayed by Apple or Google before you confirm a purchase.
Subscriptions renew automatically and the applicable store will charge your account unless you cancel before the renewal date. Purchases are processed by the applicable app store, not directly by ElixirCS. You can manage or cancel a subscription through your Apple App Store account or Google Play account.
Refund requests are handled under the applicable store's rules and any mandatory consumer law. Flex - Music Player supports restoring an eligible previous purchase when you use the relevant store account. A "lifetime" purchase means access to Flex - Music Player Pro for the supported lifetime of the Flex - Music Player product; it does not mean the lifetime of the purchaser. This is subject to any rights and remedies you have under applicable consumer law.
Apple users
If you download Flex - Music Player from Apple's App Store, its distribution and your use of it are also subject to Apple's Standard End User Licence Agreement. If these terms conflict with Apple's mandatory app-store terms, those terms apply to the extent of the conflict.
Apple requires the following to be stated where a developer supplies its own licence terms, and they apply to Flex - Music Player obtained from the App Store:
- These terms are between you and Elixir Consultancy Services Ltd only, and not with Apple. Apple is not responsible for Flex - Music Player or its content.
- Apple has no obligation to provide any maintenance or support for Flex - Music Player.
- If Flex - Music Player fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of Flex - Music Player to you. To the maximum extent permitted by law, Apple has no other warranty obligation in respect of Flex - Music Player.
- Elixir Consultancy Services Ltd, not Apple, is responsible for addressing any claim relating to Flex - Music Player, including product liability claims, any claim that Flex - Music Player fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar law.
- Elixir Consultancy Services Ltd, not Apple, is responsible for the investigation, defence, settlement and discharge of any third-party claim that Flex - Music Player, or your possession and use of it, infringes that third party's intellectual property rights.
- You represent that you are not located in a country subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
- Questions, complaints and support requests about Flex - Music Player should be sent to support@elixircs.com, or by post to Elixir Consultancy Services Ltd, 7 Croftflat Drive, Fenay Bridge, Huddersfield, HD8 0FS, United Kingdom.
- You must comply with any applicable third-party terms when using Flex - Music Player.
- Apple and its subsidiaries are third-party beneficiaries of these terms and, on your acceptance of them, will have the right to enforce them against you.
Updates, compatibility and changes
We may provide updates to maintain security, compatibility, performance or functionality. Flex - Music Player may not work on devices, operating-system versions or Plex versions that we no longer support. We may make reasonable changes to functionality, including to respond to legal, security, technical or third-party-service changes. Where a change materially affects paid functionality, we will give reasonable notice where practicable and will respect your mandatory consumer rights.
Third-party services and availability
Flex - Music Player depends on services and systems we do not control, including Plex, your Plex Media Server, Apple, Google, your network and your internet provider. You are responsible for connectivity and any related charges. We do not promise uninterrupted or error-free availability, but this does not affect any service standard or remedy that applicable law requires.
Intellectual property and trademarks
Flex - Music Player, this website and their original content, design and code are owned by or licensed to ElixirCS and protected by intellectual-property laws. "Plex" and any other third-party names or marks belong to their respective owners. Nothing in these terms grants you a right to use our or another party's branding except as necessary to use Flex - Music Player normally.
Warranty and your consumer rights
Flex - Music Player is provided "as available". To the fullest extent permitted by law, we do not give guarantees beyond those expressly stated in these terms. Nothing here excludes the legal rights or remedies that cannot be excluded, including your right as a consumer to receive digital content and services that conform to the contract and are provided with reasonable care and skill where the law requires this.
Limitation of liability
We are responsible for loss or damage that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, for loss caused by systems outside our reasonable control, or for business losses where you use Flex - Music Player for a personal purpose. You should maintain appropriate backups of your server and media; Flex - Music Player is not a backup service.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability, right or remedy that cannot legally be excluded or limited.
Suspension and termination
You may stop using Flex - Music Player at any time. We may suspend or terminate your right to use it if you materially or repeatedly breach these terms. Where reasonable, we will give you notice and an opportunity to put matters right, but we may act immediately where needed to protect users, rights, systems or comply with law. Termination does not remove rights or obligations that arose before termination, including applicable consumer remedies.
Changes to these terms
We may update these terms for legal, security, technical or business reasons. We will publish the revised terms here with a new effective date and, where a change is material, provide reasonable notice where practicable. If the law requires your express agreement, we will ask for it. Changes do not remove rights or remedies that have already arisen.
Governing law
These terms are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, but if you are a consumer living elsewhere, you keep any mandatory rights and may bring proceedings in the courts available to you under the law of your country of residence.
